Legal Senior Specialist

The role

As part of the connective, Kin and Carta Plc works closely with Kin and Carta global network projects. Kin and Carta is a digital transformation business, delivering growth for the world’s leading companies, with capabilities in strategy, innovation and communication. 

At this opportunity we are looking for someone to join our Buenos Aires office as a Legal Senior Specialist playing a key role in the Kin and Carta UK based head office legal team, to provide meaningful commercial contracts and legal support to the Kin + Carta specialisms primarily operating in the US, Argentina and Europe. The ability to support the commercial aims at the same time as protecting the legal and financial interests and governance requirements of the Kin + Carta group as a whole is a key requirement of this role.

In this role you will be able to conduct tasks supported by the wider legal team, while having access and exposure to senior stakeholders across the Kin + Carta group.


  • Support the Legal team based in Argentina and UK as well as the UK company secretariat team. To that effect regular dialogue will be required to discuss priorities and the allocation and review of work by the Legal team.
  • Initiate and manage the review, drafting and negotiation of a broad range of commercials contracts with clients, suppliers and software vendors across Kin + Carta specialisms, advising on legal risks and liabilities and ensuring that all contracts meet internal group governance requirements.
  • Support Kin + Carta’s Data Protection Officer in all data protection and privacy compliance activities; review and negotiate data processing agreements.
  • Seek guidance and approval from executive level management and the Board (as appropriate) on matters falling outside of internal group governance requirements.
  • Assist the Legal Leaders and the Group Company Secretary in initiatives and other ad hoc projects, as may be required from time to time.
  • Support the Legal Manager with affairs in Argentina 

Key Accountabilities

  • Work closely with the commercial teams of each Kin + Carta specialism to review and negotiate contracts directly with clients, suppliers and software vendors, proposing amendments and re-drafting relevant clauses as necessary to reflect the agreed commercial terms and in accordance with internal group governance requirements.
  • Maintain a register of intra-company agreements, based on an in-house precedent, for the provision of shared services across Kin + Carta specialisms.
  • Develop and maintain good working relationships with all relevant stakeholders within each of the Kin + Carta specialisms and head office team; work efficiently to meet agreed response times on contract review/advice.
  • Keep the legal team  informed on the status of contract reviews and negotiation, advise on the position under contract and work to resolve contract related queries in an efficient and timely manner.
  • Provide administrative support to the Kin +Carta Legal and Company Secretariat team 
  • Provide assistance to Kin + Carta specialisms with requests for information/invitations to tender.
  • Maintain the legal team contracts database, effectively managing the filing of all customer and supplier contracts, including the capture of key information.

Other Responsibilities

  • Be an active member of the head office legal and company secretarial team.
  • Provide input to insurance renewal discussions; liaise with Kin + Carta’s insurance brokers for guidance on insurance requirements under contract.
  • Provide support in any other matters of a commercial or quasi-legal nature arising from time to time.

Minimum Qualifications

  • Undergraduate law degree; qualified to practice law in Argentina and/or the US preferred
  • Fluent in English with the ability to review, draft and negotiate in English
  • International commercial contracts for the supply of digital and technology services including intellectual property assignment and licensing, exclusions and limitation of liability and indemnification
  • International data protection/privacy regulatory landscape, including GDPR
  • Proficient in the use of MS Word; good working knowledge of MS Office and G-suite applications
  • Strong English written and contract drafting skills
  • Commercial judgement and ability to operate within a governance framework, knowing when to Seek guidance and when to offer flexibility in the negotiation of a contract
  • Good communication and analytical skills
  • Organised with an ability to effectively prioritise workload
  • Ability to manage a large and varied workload with competing demands
  • Minimal international travel to the US and UK is a requirement of the role (approximately 10%).

Preferred Qualifications

  • We will consider candidates who have obtained experience via placement and extra curricular activities, (desirable but not essential) 1 years’ experience in commercial contracts management preferably within an international commercial or digital/technology business, working closely with commercial teams to review, draft and negotiate a broad range commercial contracts including (without limitation) supply of services, software development and licensing and non-disclosure agreements across multiple jurisdictions
  • Familiarity with the US / UK legal system a plus
